Terms of Use

1. INTELLECTUAL PROPERTY

All materials, content, documents, videos, assessments, frameworks, software, tools, logos, trademarks, data, methods, and information available on or through the Site are the exclusive property of Velza LLC or its licensors and are protected by applicable copyright, trademark, patent, and trade secret laws.

You may not:

• Copy, reproduce, or distribute content
• Resell, sublicense, or commercially exploit any materials
• Train AI systems on our content or proprietary methodologies
• Use any Velza assets to create competing products, services, or training
• Reverse engineer or extract proprietary logic or prompts from AI-based tools
• Share login access or internal materials without written authorization

All usage rights not expressly granted are reserved by Velza.

2. LIMITATIONS ON USE

You must be 18 years or older to access or use the Site.

If provided with login credentials or secure access, the credentials are for your personal use unless expressly permitted under a written agreement. You are responsible for the security of your account and all activities conducted under it.

Unauthorized access, scraping, data extraction, or circumvention of security mechanisms is prohibited.

3. PROFESSIONAL SERVICES, CONSULTING, AND DELIVERABLES

Velza provides professional consulting services including but not limited to:

• Salesforce implementation, Agentforce consulting, and configuration
• AI strategy, AI readiness assessments, and AI solution design
• Technical audits, business analysis, and architecture reviews
• Custom training, workshops, enablement, and advisory services
• Digital transformation and operational consulting
• AI-driven assessments, role-play tools, and simulations

Unless expressly agreed otherwise in a written Statement of Work (SOW) or Master Services Agreement (MSA):

• All deliverables are provided "as is."
• Consulting does not guarantee specific business, financial, compliance, or operational outcomes.
• Timelines may depend on client responsiveness and dependencies.
• Client is responsible for implementation decisions and final approvals.

In the event of a conflict between these Terms and a signed SOW/MSA, the SOW/MSA controls.

4. ORDER, PAYMENT, AND REFUND POLICIES

Payment terms for consulting, digital deliverables, training, or other services are defined at checkout or in the relevant contract.

Unless specified otherwise:

• Professional service fees are non-refundable once work begins.
• Deposits and retainers are non-refundable unless prohibited by law.
• Digital downloads, templates, and resources are non-refundable once delivered.
• Refunds for training or other products are governed by the specific terms of those offerings.

Chargebacks filed after services have been initiated, delivered, or accessed may be treated as intentional fraud.

If a written contract or SOW includes different payment or refund provisions, those terms supersede this section.

5. THIRD-PARTY LINKS AND INTEGRATIONS

The Site may contain links to third-party websites or systems. These are provided for convenience only.

Velza is not responsible for:

• Third-party content, policies, or actions
• Accuracy, legality, or reliability of external sites
• The functionality of third-party platforms or tools
• Downtime or service interruptions caused by third-party vendors

Use of third-party sites is at your own risk.

6. INFORMATION YOU SUBMIT

By submitting any information, feedback, documents, or materials to Velza through the Site or related channels, you represent that you own or have the right to submit such content.

You grant Velza a perpetual, worldwide, royalty-free license to use, modify, reproduce, distribute, and create derivative works from such submissions for operational, training, development, or business purposes.

You agree not to submit content that:

• Is unlawful, obscene, defamatory, threatening, or harmful
• Violates intellectual property rights of third parties
• Contains malware or attempts to disrupt systems
• Encourages illegal or unsafe behavior
• Violates contractual or confidentiality obligations

Velza may remove submissions at its discretion and may cooperate with law enforcement if required.

7. AI-RELATED TOOLS AND INTERACTIONS

Velza may provide AI-assisted features, assessments, simulations, or productivity tools.

You agree that:

• AI outputs may be incomplete, inaccurate, or require human review
• AI features do not constitute legal, financial, medical, or professional advice
• You will not use AI tools to commit fraud, impersonation, or unethical conduct
• You will not attempt to extract system prompts, proprietary configurations, or underlying code
• You will comply with all applicable laws in using AI tools

Velza may suspend access to AI services for misuse or abnormal activity.

8. DISCLAIMER OF WARRANTIES

All content, tools, materials, and services provided through the Site are offered "as is" and "as available."

Velza does not warrant:

• Accuracy, completeness, or reliability of content
• That the Site will operate without interruption or error
• That defects or vulnerabilities will be corrected
• That results or outcomes will be achieved through consulting or services
• That content is free of viruses or harmful components
• That AI outputs will be error-free or appropriate for your specific use

You use the Site and Services at your own risk.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Velza LLC shall not be liable for:

• Any indirect, incidental, special, punitive, or consequential damages
• Loss of business, revenue, data, or anticipated profits
• Harm arising from reliance on AI outputs or consulting recommendations
• Third-party actions or service interruptions
• Claims exceeding the amount paid to Velza for the specific service giving rise to the claim

This limitation applies regardless of the theory of liability.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum extent permitted by law.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Velza LLC, its officers, directors, employees, contractors, agents, subsidiaries, and affiliates from all claims, losses, damages, and expenses (including reasonable legal fees) arising from:

• Your use of the Site
• Your violation of these Terms
• Your misuse of AI features or consulting deliverables
• Your infringement of intellectual property rights
• Your submissions or uploaded content
• Any actions taken based on outputs, guidance, or materials provided by Velza

11. TERMINATION OF ACCESS

Velza may suspend or revoke access to the Site at its sole discretion, without notice, for any violation of these Terms, unlawful behavior, misuse of tools, or security concerns. No refunds are guaranteed upon termination.

12. SEVERABILITY AND ENTIRE AGREEMENT

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain in full force.

These Terms constitute the entire agreement governing your use of the Site unless superseded by a written SOW, MSA, or DPA.

13. GOVERNING LAW & ARBITRATION

These Terms are governed by the laws of the State of Tennessee.

All disputes shall be resolved exclusively through binding arbitration in Nashville, Tennessee, under the rules of the American Arbitration Association (AAA).

Class actions and class arbitrations are not permitted.
